ASIC issues an annual statement on each company's annual review date — the anniversary of incorporation. Statement is sent by email (or post) to the registered office. Contains: company snapshot (directors, secretaries, members, registered office, principal place of business), the annual review fee invoice, and instructions to pass a solvency resolution.

Verify the statement

Check every detail on the annual statement. If any detail has changed in the past year (director change, address change, share allocation, name change) and was NOT notified within 28 days of the change, lodge a Form 484 IMMEDIATELY to update + pay any associated fee. The statement reflects ASIC's register — keep it accurate.

Pass a solvency resolution under s 295A

Directors must pass a positive solvency resolution: there are reasonable grounds to believe the company will be able to pay its debts as and when they become due and payable. Document the resolution in writing. If a positive resolution cannot be passed, a NEGATIVE solvency resolution is required + must be reported to ASIC within 7 days via Form 485.

Pay via ASIC Connect (asic.gov.au/online-services/asic-connect) or BPay using the BPay reference on the statement. Failure to pay → ASIC can deregister the company.

When is the annual review date?

The annual review date is the anniversary of the company's registration. For example: a company registered 3 March 2020 has an annual review date of 3 March every year. Find the registration date on the original Certificate of Registration or via ASIC Connect.

What is a solvency resolution?

Under Corporations Act s 295A, directors must pass a written resolution within 2 months of the annual review date stating: "There are reasonable grounds to believe that the company will be able to pay its debts as and when they fall due and payable." All directors sign the resolution + it is kept in the company minute book. The resolution does NOT need to be lodged with ASIC unless it is a NEGATIVE resolution (Form 485 required within 7 days).

What if I cannot pass a positive solvency resolution?

A negative solvency resolution must be passed and lodged with ASIC within 7 days via Form 485. This is a regulatory red flag — ASIC may follow up + the company may need to consider voluntary administration, small business restructuring (Pt 5.3B), or liquidation. Engage a registered liquidator IMMEDIATELY when a negative resolution is contemplated. Do NOT continue trading without proper advice — insolvent-trading exposure under s 588G applies.

How is the annual review fee calculated?

Flat fee per entity type (not based on turnover or assets). Small Pty Ltd $321 + late fees if applicable. Indexed annually 1 July under the ASIC fees regulation. Special purpose companies (super-fund corporate trustees) get the discounted $60 rate provided they meet the SPC criteria + lodge the SPC declaration.

What happens if I miss the payment deadline?

Day 1-30 late: $99 added to fee. Day 31-60 late: additional $412 added (total late = $511). Day 61+ late: $412 escalating + ASIC issues deregistration warning. ASIC can deregister the company under s 601AB if outstanding > 12 months. Deregistered company loses ABN + assets pass to ASIC. Reinstatement is possible via Form 581 + reinstatement fee + back-payment of all outstanding fees + late fees.

Can I change my company's annual review date?

Yes — file Form 6010 (request to change the annual review date) with ASIC. Useful when consolidating multiple group companies onto a single review date for administrative simplicity, or aligning the review date to financial year-end. Application reviewed by ASIC; not automatic.
