Terms of Service

By accessing and using XIntelliSync AI Pty Ltd's Business Operating System, you accept and agree to be bound by the terms and provisions of this agreement. These Terms are governed by Australian law, including the Australian Consumer Law and the Privacy Act 1988 (Cth). Our service provides a unified AI-powered operating system for modern businesses with a tier-scaled workforce of specialised AI agents.

XIntelliSync AI provides a comprehensive Business Operating System including:

• 50 to 150 specialised AI agents and automation recipes
• Accounting, CRM, payroll, compliance, and operations automation
• Analytics, reporting, and business intelligence dashboards
• Revenue tracking, forecasting, and growth insights
• Customer success automation
• Real-time analytics and reporting

We offer the following subscription plans (prices in AUD):

All subscriptions are billed monthly and automatically renew unless cancelled. Payments are processed securely through Stripe.

You agree to:

• Provide accurate and complete information
• Use our service only for lawful business purposes
• Maintain the security of your account credentials
• Respect intellectual property rights
• Not attempt to reverse engineer or copy our AI algorithms
• Report any security vulnerabilities to our team

You retain full ownership of all business data you upload to our platform. We use your data solely to provide AI analysis services and do not sell, trade, or share it with third parties except as required for service delivery through our trusted technology partners or as required by Australian law.

We strive to maintain high availability for our platform through certified cloud infrastructure. Planned maintenance will be announced in advance. We are not liable for service interruptions beyond our reasonable control, including but not limited to failures of third-party infrastructure, network outages, or force majeure events.

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We offer prorated refunds for annual subscriptions cancelled within the first 30 days.

XIntelliSync AI retains all rights to our platform, AI algorithms, and proprietary technology. Users are granted a limited license to use our service according to their subscription plan.

• NO WARRANTIES: The platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
• AI ACCURACY: While our AI Business OS uses advanced proprietary algorithms, we do not guarantee the accuracy, completeness, or reliability of AI-generated insights.
• BUSINESS DECISIONS: Users are solely responsible for all business decisions and their consequences.
• MARKET PREDICTIONS: Market intelligence and predictions are estimates only and may not reflect actual market conditions.
• NO PROFESSIONAL ADVICE: Our service does not provide legal, financial, accounting, or other professional advice.

• MAXIMUM LIABILITY: Our total liability is limited to the lesser of (a) $100 AUD or (b) amounts paid in the 3 months preceding the claim.
• EXCLUDED DAMAGES: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, or loss of data.
• BUSINESS LOSSES: We are not responsible for any business losses, financial damages, or opportunity costs resulting from use of our AI insights.
• FORCE MAJEURE: We are not liable for delays or failures due to circumstances beyond our reasonable control.
• AI LIMITATIONS: We disclaim liability for AI model errors, biases, or unexpected outputs.

You agree to indemnify and hold XIntelliSync AI harmless from any claims, damages, or expenses arising from:

• Your use of our platform or AI-generated insights
• Business decisions made based on our services
• Violation of these Terms of Service
• Infringement of any third-party rights
• Misuse of confidential or proprietary information

These terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of Sydney, Australia. If any provision is found unenforceable, the remaining provisions remain in full force.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable Australian law that cannot be excluded, restricted, or modified by agreement.

To the extent permitted by law, our liability for breach of any non-excludable consumer guarantee is limited, at our option, to the re-supply of the services or payment of the cost of having the services re-supplied.

Your use of our platform is also governed by our Privacy Policy, which is designed around the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). We maintain breach response procedures intended to support the Notifiable Data Breaches (NDB) scheme, including notification to affected users and the Office of the Australian Information Commissioner (OAIC) where required by law.

For international users, we maintain GDPR-aware data handling practices including data subject request handling, consent-aware flows, and data processing transparency where applicable.
